1. Acceptance of Terms

By accessing, browsing, or using Glass (“Platform,” “Service,” or “we/us/our”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Glass, Inc. (“Company”). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Eligibility

To use Glass, you must:
  • Be at least 18 years of age, or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate, current, and complete information during registration
If you are using Glass on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

A. Account Creation

To access certain features of Glass, you must create an account by providing a valid email address and creating a secure password. You agree to:
  • Provide accurate and truthful information during registration
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

B. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of applicable fees
  • Extended periods of inactivity
Upon termination, your right to use the Service will immediately cease, and we may delete your account data in accordance with our Privacy Policy.

4. Description of Service

Glass is an AI-powered observability and monitoring platform designed to help developers and organizations gain insights into their applications, infrastructure, and AI systems. Our Service includes, but is not limited to:
  • Real-time monitoring and alerting
  • Log aggregation and analysis
  • Trace visualization and debugging
  • AI-powered anomaly detection
  • Customizable dashboards and reporting
  • API access for integration with third-party tools
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

5. Use of Service

A. Permitted Use

You may use Glass solely for lawful purposes and in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

B. Prohibited Conduct

You agree NOT to:
  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
  • Use automated scripts, bots, or scrapers to access the Service without our express written consent
  • Transmit any viruses, malware, or other harmful code
  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights of Glass or any third party
  • Use the Service to send unsolicited communications (spam)
  • Resell, sublicense, or redistribute the Service without authorization
  • Upload or transmit any content that is defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation

6. User Content and Data

A. Ownership

You retain all ownership rights to any data, content, or materials you upload, transmit, or store through Glass (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display such content solely for the purpose of providing and improving the Service.

B. Responsibility for User Content

You are solely responsible for all User Content you submit. You represent and warrant that:
  • You own or have the necessary rights to use and authorize our use of your User Content
  • Your User Content does not violate the privacy, publicity, intellectual property, or other rights of any third party
  • Your User Content does not contain any illegal, harmful, or objectionable material

C. Content Removal

We reserve the right, but not the obligation, to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

7. Intellectual Property Rights

A. Glass Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, images, audio clips, and other content (“Glass Content”), is the exclusive property of Glass, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or Glass Content without our prior written consent.

B. Trademarks

“Glass,” the Glass logo, and other Glass-related trademarks, service marks, and logos are trademarks of Glass, Inc. You may not use these marks without our prior written permission.

C. Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant us an irrevocable, perpetual, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without any obligation to you.

8. Payment Terms

A. Fees and Billing

Certain features of Glass require payment of fees. By selecting a paid plan, you agree to pay all applicable fees as described on our pricing page. All fees are:
  • Quoted in USD unless otherwise specified
  • Non-refundable except as expressly stated in these Terms
  • Subject to change with 30 days’ prior notice

B. Payment Methods

We accept major credit cards and other payment methods as indicated on the Platform. You authorize us to charge your selected payment method for all fees incurred.

C. Late Payments

If payment is not received within 30 days of the due date, we may:
  • Suspend or terminate your access to the Service
  • Charge interest at the rate of 1.5% per month (or the maximum rate permitted by law)
  • Pursue collection through appropriate legal channels

D. Taxes

You are responsible for all applicable taxes, duties, and levies associated with your use of the Service, excluding taxes based on Glass’s net income.

9. Third-Party Services and Integrations

Glass may integrate with or contain links to third-party services, websites, or applications. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GLASS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

A. Exclusion of Damages

IN NO EVENT SHALL GLASS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Loss of goodwill or reputation
  • Cost of procurement of substitute services
  • Any damages arising from your use or inability to use the Service

B. Cap on Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO GLASS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

C. Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GLASS. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Glass, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your User Content
  • Any misrepresentation made by you
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

13. Governing Law and Dispute Resolution

A. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

B. Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Japan Commercial Arbitration Association (JCAA). The arbitration shall take place in Tokyo, Japan, and shall be conducted in English.

C. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

D. Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Confidentiality

During your use of the Service, you may receive or have access to confidential information belonging to Glass, including technical specifications, business plans, and proprietary algorithms (“Confidential Information”). You agree to:
  • Keep all Confidential Information strictly confidential
  • Use Confidential Information solely for the purpose of using the Service
  • Not disclose Confidential Information to any third party without our prior written consent
  • Take reasonable measures to protect the confidentiality of such information

15. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department’s Office of Foreign Assets Control. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to applicable trade sanctions.

16. Force Majeure

Glass shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, labor disputes, government actions, power outages, or internet service provider failures.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Glass regarding your use of the Service. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Glass.

20. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Glass may freely assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their successors and assigns.
